Terms of Service

These Terms of Service ("Terms") govern your access to and use of Warps Studio's services, including our website, APIs, software, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our APIs, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use our Services. We reserve the right to modify these Terms at any time, and we will notify you of material changes via email or through the Services.

2. Description of Service

Warps Studio provides AI-powered creative generation services, including:

  • Image Generation: AI models for creating images from text prompts and reference images
  • Brand Consistency Tools: Brand kit management, style transfer, and template-based generation
  • API Access: Programmatic access to our AI models and features
  • Dashboard: Web-based interface for managing projects, generations, and account settings
  • Beta Features: Early access to experimental features, including video generation (currently in beta)

The Services are provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. User Accounts

Account Creation

To use our Services, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breaches
  • Ensuring your account information remains current and accurate

Account Eligibility

You must be at least 18 years old to create an account. If you are using the Services on behalf of an organization, you must have the authority to enter into this agreement on behalf of that organization.

4. Usage Restrictions

You agree not to use the Services to:

  • Illegal Activities: Violate any applicable laws, regulations, or third-party rights
  • Harmful Content: Generate content that is illegal, defamatory, harassing, violent, sexually explicit, or promotes hate speech
  • Impersonation: Create images impersonating real individuals without consent, including deepfakes
  • Intellectual Property Violation: Generate content that infringes upon copyrights, trademarks, or other IP rights
  • System Abuse: Reverse engineer, circumvent rate limits, or attempt to exploit vulnerabilities in our Services
  • Automated Abuse: Use bots, scrapers, or automated tools except through our official APIs
  • Resale: Resell or redistribute our Services without explicit written permission
  • Competitive Use: Use our Services to develop competing AI models or services

We reserve the right to investigate and take appropriate action against any violation of these restrictions, including account suspension or termination.

5. Intellectual Property

Your Content

You retain ownership of all content you upload to our Services ("Your Content"). By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process Your Content solely to provide and improve our Services.

Generated Content

Subject to your compliance with these Terms and payment of applicable fees, you own the images and content generated through our Services ("Generated Content"). However, we reserve the right to use anonymized, aggregated data from generations to improve our models.

Enterprise plan customers can opt out of model training. Contact us at legal@warps.studio to configure your preferences.

Our Services

Warps Studio and its licensors own all rights, title, and interest in the Services, including our AI models, software, algorithms, trademarks, and documentation. These Terms do not grant you any ownership rights to our intellectual property.

6. Payment Terms

Pricing and Billing

Our pricing is available at warps.studio/#pricing. You agree to pay all fees according to your selected plan:

  • Starter Plan: Pay-as-you-go based on API usage
  • Professional Plan: Monthly subscription with included credits
  • Enterprise Plan: Custom pricing with annual commitments

Payment Processing

Payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred. All fees are non-refundable unless otherwise stated or required by law.

Usage Limits and Overages

If you exceed your plan's included credits or rate limits, overage charges will apply according to our published pricing. We will notify you when you approach your limits.

Price Changes

We may change our pricing with 30 days' notice. Price changes will not affect your current billing period and will apply at your next renewal.

7. Service Level Agreement (SLA)

For Enterprise plan customers, we commit to the following SLA:

  • Uptime Guarantee: 99.9% monthly uptime for our API services
  • Support Response Time: Priority support with 4-hour response time for critical issues
  • SLA Credits: Service credits for downtime exceeding our uptime guarantee
  • Scheduled Maintenance: Planned maintenance will be announced 72 hours in advance

Uptime is calculated monthly and excludes scheduled maintenance windows and circumstances beyond our reasonable control. SLA terms are detailed in your Enterprise agreement.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
  • WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Warps Studio, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Services
  • Your Content or Generated Content
  • Your violation of these Terms
  • Your violation of any third-party rights

10. Termination

Termination by You

You may terminate your account at any time through your account settings. Upon termination, you will lose access to your account and any stored content. We do not provide refunds for early termination.

Termination by Us

We may suspend or terminate your access to the Services at any time for:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity

We will provide reasonable notice before termination unless immediate termination is required for legal or security reasons.

Effect of Termination

Upon termination:

  • Your right to access and use the Services immediately ceases
  • You remain responsible for any outstanding fees
  • We may delete your account data after 30 days
  • Provisions that by their nature should survive (e.g., liability limitations, indemnification) will continue to apply

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

12. Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at legal@warps.studio to attempt to resolve the dispute informally. We will attempt to resolve disputes within 60 days.

Arbitration

For disputes that cannot be resolved informally, you and Warps Studio agree to resolve claims through binding arbitration, except for:

  • Claims for injunctive or equitable relief
  • Intellectual property disputes
  • Claims that may be brought in small claims court

Arbitration will be conducted by JAMS under its Comprehensive Arbitration Rules. The arbitration will take place in San Francisco, California, or another mutually agreed location.

Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative proceedings.

13. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website with a new "Last Updated" date
  • Sending email notification to your registered email address
  • Displaying a prominent notice in our Services

Your continued use of the Services after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services.

14. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any applicable Enterprise agreements, constitute the entire agreement between you and Warps Studio regarding the Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

Export Controls

The Services are subject to U.S. export control laws. You agree to comply with all applicable export and import laws and regulations.
